Chapter 1 Overview

Scope of the Rules: The Rules apply to JD International users; merchants can select business models according to their business requirements to sell items or provide services to buyers through JD International.

1.1 The Rules are formulated in accordance with the JD International Store Service Agreement and other service/cooperation agreements for protecting legitimate rights and interests of JD International users and maintaining the normal operation of JD International.

1.2 Under the principle of customer and integrity first with the final target of making life simple and happy, and the long-term goal of promoting Chinese brands and high-quality Chinese products to the world, JD International enables users all over the world to use quality Chinese products and the top-quality services of JD in China.

1.3 The General Rules of JD International are terms defining the basic obligations of JD International users or standardizing their basic rights.

1.4 Identification and handling of compliant behaviors are carried out in accordance with relevant rules and facts determined by JD International from the perspective of ordinary people, in consideration of evidences provided by both parties. These Rules apply equally to all JD International users

1.5 The user shall comply with laws, administrative regulations, departmental rules, and other normative documents of China and the seller's country. In case of any suspected violation of normative documents such as national laws, administrative regulations, and departmental rules, the violators are subject to punishment in accordance with the Rules if such violation is covered by the Rules, or by JD International at its sole discretion, according to or by reference to relevant or similar rules if such violation is not covered by the Rules, provided that in no case shall such punishment by JD International relieve the user from legal liabilities arising out of the violation of laws, breach, and other behaviors. The user agrees that if relevant industrial and commercial administrative departments discover any user violating industrial and commercial administration laws, regulations and rules and legally require JD International to take measures for stopping the violation, JD International has the right to comply with such requirements and take relevant measures, and is not liable for any loss or damage incurred by the user thereby, which shall be borne by the user.

1.6 The General Rules constitute a part of the service agreement with the user. In addition, any behavior of the user on JD International is subject to other agreements with JD International and other relevant rules of JD International.

1.7 JD International has the right to, from time to time, to amend, supplement or update the Rules, of which users will be notified through the merchant backend system and other channels at least 7 calendar days prior to coming into effect. Once the aforementioned notice is sent, such amendment, supplement, or update is deemed to be notified to each user. If the user disagrees with relevant amendment, supplement, or update, the user shall immediately cease the use of relevant services provided by JD International prior to the notice coming into effect and shall notify JD International in a timely manner. If the user continues to use any service provided by JD International upon the effectiveness of the relevant amendment, supplement, or update, the user is deemed to totally consent to, accept, and agree to be bound by such amendment, supplement, or update.


Chapter 2 Definitions

Unless otherwise specified in the Rules, terms used herein are as defined in the JD International Store Service Agreement.

2.1 JD International: Any of online trading platforms for which JD E-COMMERCE (TRADE) HONG KONG CORPORATION LIMITED provides operation, relevant technical and support services, with the domain names or link addresses including but not limited to en.jd.com, 360buy.com and other JD International websites;

2.2 User: Any legal persons, natural persons, and other organizations registered on JD International and becomes a registered member of JD International are collectively referred to as “user” in the Rules, unless otherwise specified;

2.3 Platform Rules: Normative documents which have been published or will be published by JD International (as amended, supplemented, and updated from time to time), including but not limited to service agreements, other agreements between the user and JD International, the General Rules, other detailed rules, standards, policies, notices, and other normative documents or contents;

2.4 Buyer: Any user browsing or purchasing items/accepting services on JD International;

2.5 Merchant: Any user who satisfies JD International requirements, successfully joins JD International, and sells items or provides services on JD International, including service providers;

2.6 Account: An account opened by the user at the time of registration which is unique; if one company has many accounts at the same time, such accounts may be suspended.

2.7 Order: A contract under which a buyer purchases one or more types of items/services from a merchant at the same time; contents of any order with regard to any type of items/services constitute a separate transaction;

2.8 Store: An online virtual store with a unique ID (identity) and specific name (as adjusted according to relevant platform rules) which a merchant applies on JD International for approval after completing the registration processes in order to carry out lawful operation;

2.9 Conclusion of Transaction: Successful payment by the buyer for an order using online payment or the successful submission by the buyer of an order using the cash on delivery;

2.10 Supply chain management services and delivery services

Supply Chain Management Services are services which can be provided by JD International to merchants, including item storage and order delivery. Delivery Services refers to services in relation to order delivery which can be provided by JD International to merchants. Merchant may select suitable service schemes according to its requirements, so as to enhance its service efficiency;

2.11 Agreed Delivery Period: A period promised by the merchant which is from the conclusion date of the transaction to the date of signature by the buyer to acknowledge the receipt of an order;

2.12 Timely Delivery Rate: The number of orders delivered in a timely manner / the total number of orders * 100% for a single merchant;

2.13 Listing Deactivation: A process whereby an item for sale is transferred by JD International or the merchant from the store to the virtual warehouse. After deactivation, the listing will not be displayed on the front-end pages of JD International and cannot be purchased by buyers.

2.14 Listing Activation: A process whereby an item listing is transferred by JD International or the merchant of it them from the virtual warehouse to the front-end of JD International for sale. After listing, the items are shown on a front-end page of JD International and can be purchased by buyers.

2.15 Warning: Refers to an oral or written notice of the misconduct of a user by JD International;

2.16 Search Ranking Drop: the drop in the ranking of an item in search results.

2.17 Settlement: The checking and settlement of bills and payments, as agreed between JD International and the merchant;

2.18 Rebate: Service fee reduction provided by JD International to the merchant when the merchant satisfies conditions specified by JD International for the purpose of improving the service level of the merchant;

2.19 Independent After-Sales Service: Handling by the merchant of problems occurring after the buyer signs off on the receipt of an order through the independent after-sales system according to the after-sales policy to improve buyer satisfaction;

2.20 Work Order: Any reminders, complaints, and other work orders from a buyer to the merchant with respect to an order, which is to be handled by the merchant in a timely manner in order to improve buyer satisfaction;

2.21 Punishment Threshold: A specified cumulative number of points deducted due to merchant violations;

2.22 Threshold Punishment: The punishment given to the merchant by JD International (including but not limited to deduction of reward points of the merchant, notice, guidance, search ranking drop, warning or corresponding punishments) in accordance with the General Rules and other platform rules when the cumulative number of points deducted due to violation by the merchant reaches the punishment threshold;

2.23 Market Management Measures: Management measures taken by JD International against users who violate platform rules, such as warning and search ranking drop, for the purpose of creating a good shopping environment;

 

Chapter 3 Basic Obligations of Merchants

3.1 Merchant behavior on JD International must comply with website rules published on JD International.

3.2 The merchant must comply with national laws, administrative regulations, departmental rules and other normative documents. In case of any suspected violation of national laws, administrative regulations, departmental rules, and other normative documents, the violators are subject to punishment in accordance with the Rules if such violation is covered by the Rules, or by JD International at its sole discretion if such violation is not covered by the Rules, provided that in no case shall such punishment on the merchant by JD International relieve the merchant from the legal liabilities of the merchant.

3.3 As a seller in the trading market, the merchant has the obligation to understand and have an intimate knowledge of rules of the market of the buyer in the transaction process and support the buyer in completing the transaction.

3.4 Items or information forbidden by national laws, regulations or JD International from being posted shall not be posted on JD International. For details, see the List of Items Forbidden and Restricted by JD International for Sale.

3.5 The merchant shall respect the intellectual property rights of other persons. JD International prohibits the merchant from posting or selling items which infringe upon intellectual property rights of any third party, without authorization.

3.6 The merchant shall comply with the principle of good-faith operation (such as the timely performance of an order and fulfillment of service commitments) and shall not carry out any fake transactions, fake shipment, provide items not as described or behave dishonestly.

3.7 The merchant has the obligation to faithfully and accurately describe the item, its basic attributes, quality, defects and other information of the item which needs to be explained, on the item description page, the store page or through trade currency and other channels provided by JD International.

3.8 The merchant shall ensure that the items sold can be normally used (free from any unreasonable danger to personal and property safety, fit for intended use, comply with the standards shown on the items or packages, and otherwise) within a reasonable period of time.

3.9 If the merchant fails to perform the aforesaid basic obligations, JD International reserves the right to disqualify and otherwise punish the merchant in accordance with platform rules and relevant laws and regulations.

 

Chapter 4 Transactions

4.1 Registration

The user shall complete registration in accordance with rules of JD International and the registration process set by the JD International system, and shall, in accordance with national laws and regulations, select a user name, which shall not contain information violating laws or being suspected of infringing the rights of other persons.

4.1.1 The user has the right to apply for joining JD International to become a merchant only if the user satisfies the following conditions: 

4.1.1.1 The merchant shall comply with merchant qualification standards of JD International;

4.1.1.2 The merchant and items sold or services provided by the merchant shall have the corresponding qualifications or certifications. For details, see the Merchant Qualification Rules of JD International.

4.1.1.3 The merchant shall agree to all rules of JD International.

4.2 Getting Started

4.2.1 The merchant shall post items/services in accordance with the processes and requirements specified by the JD International system.

4.2.2 Describing the items faithfully and guaranteeing the quality of items/services sold by the merchant are basic obligations of the merchant. Describing items faithfully means accurate and complete descriptions by the merchant of basic attributes, quality, and defects of the item and other information which needs to be explained on the item description page, the activity page, or through other channels provided by JD International.

4.2.3 The merchant shall warrant that items sold by it can be normally used within the reasonable period and that the services provided by it comply with the specified standards which shall not be below national/industrial standards (free from any unreasonable danger to personal and property safety, fit for intended use, comply with the standards shown on the items or packages, and otherwise). With regard to items and services which pose a danger to personal and property safety, the merchant shall provide a truthful explanation and specific warning, and shall explain and indicate measures for correctly using items or receiving services and preventing dangers.

4.2.4 Store information: The store information of the merchant (including store sign, name, announcement, introduction, leaderboard, and activity section) shall be authentic, valid and consistent with the registration information. If store information violates platform rules, JD International has the right to require the merchant to amend such information immediately, give a warning to the merchant, or suspend the store; and the merchant is liable for merchant disputes or other disputes arising therefrom, and shall assume the corresponding administrative, civil and criminal liabilities.

4.2.5 The merchant shall not, in the form of standard terms, notice, declaration and store announcement, specify provisions to exclude or restrict rights of a buyer, mitigate or exempt liabilities of the merchant, increase liabilities of a buyer, or other provisions which are unfair and unreasonable to the buyer, or force the buyer to carry out transactions, using standard terms and technological means.

4.2.6 In selling items or providing services, the merchant shall ensure the completeness of items or services and shall not unreasonably split an item or service for sale, or specify a minimum purchase amount or otherwise charge unreasonable fees. The merchant shall ensure that the buyer has the right to, at its sole discretion, select a merchant providing items or services, to select the type of item or service method, to purchase or refuse to purchase any item and to accept or refuse to accept any service.

4.3 Delay

4.3.1 The user shall carry out transactions according to the transaction process set by the JD International system.

4.3.2 If the buyer fails to make payment within seven (7) days following the issue of an order, the system will automatically cancel the order and terminate the transaction.

4.3.3 The buyer's application for a refund: If an order is canceled or a refund is offered prior to shipment, the merchant is not entitled to payment. With regard to customized orders, the cancellation of an order by the buyer is subject to negotiation with the seller.

4.3.4 Cancellation of an order by the buyer: The buyer can apply for canceling an order within the period from the date of successful payment by the buyer to the date of shipment by the seller. After the buyer applies for cancellation of an order, the seller may negotiate with the buyer. If the seller agrees to cancellation of the order, the order is canceled and the purchase price is funded to the buyer in full. If the buyer applies for the cancellation of an order and the seller has not shipped the items, such order can be canceled. If the seller has shipped the items and refuses to cancel the order, the order remains valid, and the buyer is liable for refusal to accept the items. If the seller fails to carry out any operation and even delays shipment, the order becomes invalid and the purchase price is refunded to the buyer in full. If the seller ships a part of an item under an order and fails to ship the remaining parts of the item within the shipment period, the buyer and the seller shall negotiate on the settlement within three (3) days. If it is submitted to arbitration, the purchase price shall be refunded to the buyer according to the proportion of the item not delivered.

4.3.5 The merchant shall ship items as scheduled. In other words, the seller shall confirm an order within 24 hours following the conclusion of a transaction between both parties, and the merchant shall, within 6 days, upload to the JD system, the valid tracking number for items ordered by the buyer (the confirmation time and the uploading time are as recorded in the JD system); if the shipment time is otherwise agreed for customization, presale and other special conditions of items, the merchant shall carry out such action within the aforesaid time limit following the last day of the period in which the merchant undertakes the shipment of items.

4.3.6 If the merchant undertakes to provide Accurate Delivery and other special services with a time limit, the service terms shall apply.

4.3.7 The delivery period requirements and handling during a special events or periods (including but not limited to incorrect category, national holidays, and natural disasters) shall be as indicated in the announcement or notice on JD International.

4.4 Logistics

4.4.1 JD International only allows the merchant to use air transportation services, including major commercial express delivery services, transportation on a special route, postal parcel, and other transportation services subsequently designated by JD International.

4.4.2 The transportation services shall be selected by the merchant according to requirements of the buyer, and shall not be changed without the consent of the buyer.

4.4.3 The tracking number provided by the merchant in the shipment advice shall be authentic and searchable.

4.4.4 If the merchant ships the items through air mail, the mail shall be registered mail. The full tracking records shall be available for all transportation services. (In the absence of tracking records, the seller is liable for the refund)

4.5 Review

4.5.1 The buyer has the right to give reviews on an item within 180 days and satisfaction review within 3 months following completion of the order.

4.5.2 The following reviews shall be deleted:

4.5.2.1 Reviews containing anti-government, anti-societal, anti-religious, and anti-human information;

4.5.2.2 Reviews involving sexual, gambling, narcotic drugs, etc.;

4.5.2.3 Reviews involving abuse, slander, personal attacks, etc.;

4.5.2.4 Reviews containing a link to other websites, advertisements, etc.;

4.5.2.5 If a user posts a violating review, such review will be deleted and the user will be forbidden from posting reviews for three (3) days.

4.5.3 The following reviews will be removed:

4.5.3.1 Reviews containing information on non-JD International stores;

4.5.3.2 Reviews containing product price information.

4.5.4 Rules on Comments and Replies:

4.5.4.1 A single user can post up to 20 replies to reviews within 24 hours, and shall not post a second review for the same contents; otherwise repeated contents are deemed as violating information;

4.5.4.2 If the number of replies of a single user for the same content is or exceeds 3 within
24 hours, all violating contents posted within 24 hours will be deleted;

4.5.4.3 If the number of replies of a single user to the same review is or exceeds 5 within 

24 hours, all violating contents posted within 24 hours will be deleted.

4.6 Release of Funds

4.6.1 Release of funds 

4.6.1.1 General release of funds 

If the order in respect of which the transaction is completed satisfies any of the following conditions, JD International will release funds according to the settlement period:

4.6.1.1.1 The buyer confirms receipt of items;

4.6.1.1.2 Items are delivered duly (means that relevant document has been signed to acknowledge the receipt of items, as indicated in the logistics information under a tracking number, and the signature information is consistent with the order information);

Note: If JD International has reason to believe that disputes, cheating, and other risks may arise as to the order or the merchant, JD International has the right to extend the release period.

4.6.2 Checking of logistics information for an order in which the transaction is completed 

JD International will check the logistics information of an order in which the transaction is completed. The purchase price under the order will be released to the account of the merchant only when the order is confirmed as “items are delivered duly”.

4.6.3 The longest release period: If the buyer fails to confirm the receipt of items and there is no information of “items are delivered duly” or complaints, the funds will be released within 90 days.

4.7 Search Ranking

4.7.1 Factors affecting the rankings of products on the search page of JD International mainly include: quality of the item description, relevance between the item and the search conditions of the buyer, the ratio of the number of transactions to the number of times of exposure of an item, the customer service record of the merchant, and whether the merchant has a record of search engine manipulation.

 

Chapter 5 Promotion

For promoting the development of merchants and increasing transaction opportunities, the platform will regularly or from time to time organize merchants to conduct sales promotion activities.

The merchant has the right to participate in sales promotion activities only if the merchant on
JD International satisfy the following conditions with regard to transactions:

5.1 The merchant with transaction records shall satisfy the following conditions:

5.1.1 Positive review rate >=90%;

5.1.2 Dispute rate <=10%;

5.1.3 Other conditions specified by JD International for specific sales promotion activities.

Note: The aforesaid “positive review rate” and the “dispute rate” are not fixed values, and will be properly adjusted for different categories, specific activities or natural disasters.

5.2 The participation application by the merchant without transaction records is subject to approval by the platform according to actual activity requirements and item features;

5.3 In the sales promotion activities, merchants shall comply with national laws, regulations, policies and platform rules, and shall not commit any action being suspected of damaging the legitimate rights and interests of consumers and JD International or violating national laws or regulations;

5.4 In case of violation by the merchant in the sales promotion activities, JD International will forbid the merchant from participating in the platform activities to varying degrees, according to the severity of the violation. If the case is serious, JD International will freeze or close the account of the merchant. The specific provisions are as follows:

5.4.1 Violation of promotion commitments means request for withdrawing from sales promotion activities after the items of the merchant are reviewed and selected, or reducing the inventory for promotion and the discount, increasing the item price and the transportation fee, amending item descriptions; violation by the merchant in promotion organization is identified according to review of promotional items. In case of violation, the right to participate in the activity will be canceled, and the merchant will be forbidden from participating in sales promotion activities for 6 months;

5.4.2 Arbitrary price increase refers to the seller increasing the price of an item or increasing the shipping fee after the buyer puts in an order without consent from the buyer; in case of such sale, the right to participate in the activity will be canceled, and the merchant is forbidden from participating in sales promotion activities for 12 months;

5.4.3 Refusal to sell after conclusion of transaction means refusal by the merchant to ship items after the buyer issues an order; the merchant will be punished severely according to the website rules on refusal to sell after the conclusion of a transaction and is forbidden from participating in sales promotion activities for 12 months;

5.4.4 Forced tying means a merchant allowing the buyer to buy promotional items only when the buyer buys other items or services at the time same, in sales promotion activities. In case of forced tying, the merchant is forbidden from participating in sales promotion activities for 12 months;

5.4.5 If any behavior of the merchant violates other provisions of the Rules or other website rules in sales promotion activities, the merchant will be punished according to corresponding rules.

JD International reserves the right to change the rules on sales promotion activities.

 

Chapter 6 Market Management

6.1 Market Management Measures

6.1.1 To improve the experience of buyers and maintaining the normal functioning of the market, JD International may take the following temporary measures against users or merchants in accordance with the Rules:

6.1.1.1 Warning: An oral or written warning of JD International against misconduct of a user;

6.1.1.2 Listing Removal: A process of transferring items offered by the merchant for sale to items on hold;

6.1.1.3 Restriction on participation in marketing activities: Restriction on participation by the merchant in marketing activities initiated by JD International;

6.1.1.4 Search ranking drop for a single item: Drop in the ranking of an item in the search result;

6.1.1.5 Search ranking drop for all items of a store: Drop in the rankings of all items of a store in the search result;

6.1.1.6 Search ranking blocking for a single item: Blocking of the ranking of an item in the search result;

6.1.1.7 Information of a single item is not shown in search results by default under a single search condition: Item information is not shown by default in search results with a single search condition, such as price, sales volume, etc.;

6.1.1.8 Information of all items of a store is not shown in search results by default under a single search condition: Information of all items of a store is not shown by default in search with a single search condition, such as price, sales volume, etc.;

6.1.1.9 Store blocking: Blocking of the information of items and other information of a store in search, navigation, marketing, and other services;

6.1.1.10 Payment of damages for breach: Payment by the merchant of damages for breach to the buyer and/or JD International in accordance with agreements or the Rules;

6.1.1.11 Store shutdown: Removal of the store of the merchant, all items offered for sale in the store, and a prohibition against the posting of items and the opening of a store.

6.2 Market Management Requirements

6.2.1 The merchant shall actively improve its operation level and provide buyers with high-quality items and services. JD International will properly support merchants whose overall performance is excellent.

6.2.2 If the user behaves in a manner which endangers the transaction security or disturbs the normal operation of JD International, JD International will take coercive measures against the account, close or block the store, restrict the posting of items or information or logging in to the website, and take other temporary management measures for and transaction security, according to the degree of danger. If the case is serious, JD International has the right to impose a punishment and require the merchant to assume liability for the breach in accordance with platform rules.

6.2.3 With regard to nonconforming brands, categories or batches of items with substandard quality and their information, JD International will temporarily remove or delete relevant items offered for sale by the merchant and their information.

6.2.4 The merchant shall participate in JD International activities and activity display in accordance with relevant activity rules.

6.2.5 Guarantee of authenticity: To protect the rights and interests of consumers, JD International will take the following measures:

6.2.5.1 Cooperate with branding companies to crack down on counterfeit items;

6.2.5.2 Establish a professional team to carry out the casual inspection of items offered for sale;

6.2.5.3 Require merchants to provide a quality inspection report proving that the items offered for sale comply with national or overseas market standards;

JD International has a ‘zero tolerance’ attitude towards the sale of counterfeit items. If the sale of counterfeit items is found, JD International will temporarily remove or permanently delete relevant items offered for sale by the merchant and their information.

 

Chapter 7 Violation and Punishment

7.1 Violation 

7.1.1 Violation means any behavior which is suspected of violating national laws, regulations, rules, policies or decrees, or violates service agreements or platform rules or is suspected of damaging the legitimate rights and interests of buyers, merchants, JD International or other relevant entities.

7.1.2 Violations are considered serious violations or ordinary violations, which are identified by JD International according to the following rules.

7.1.3 Serious violation means any behavior which is suspected of violating national laws, regulations, or substantially violates service agreements or platform rules, or seriously damages the legitimate rights and interests of other merchants and buyers, or seriously disrupts the operation of JD International.

7.1.4 Ordinary violation means any behavior violating service agreements and platform rules, other than a serious violation.

7.2 Punishment Measures

7.2.1 To protect the legitimate rights and interests of users or JD International and maintaining the normal functioning of the market, JD International has the right to, at its sole discretion, take the following measures to punish the user in accordance with the Rules and other relevant rules, in case of violation by the user:

7.2.1.1 Restriction on participation in marketing activities: Restriction on participation by the merchant in marketing activities initiated by JD International;

Restriction on posting of items: Restriction on posting by the merchant of new items;

7.2.1.3 Restriction on opening of a new store: Restriction on opening a new store by the merchant on JD International;

7.2.1.4 Restriction on community functions: Restriction on use by JD International merchants of JD International communities, merchant forums, and other community services;

7.2.1.5 Store blocking: Blocking the information of items and other information of a store in search, navigation, marketing, and other services;

7.2.1.6 Store shutdown: Removal of the store of the merchant, all items offered for sale in the store, and the prohibition against the posting of items and the opening of a store. 

7.2.1.7 Punishment notification: Notification of punishment on the merchant in the JD International merchant management system or on merchant forums and otherwise;

7.2.1.8 Account blocking: The permanent prohibition against use by the user of a violating account to log in to JD International, the merchant management system, etc.

7.3 Punishment

7.3.1 In case of violation by the merchant, the merchant shall remedy the violation in a timely manner, and JD International will deduct a certain number of reward points from the merchant, and notify of such punishment in the merchant management system and otherwise. Points deducted in a calendar year will be reset to zero on January 1 of the following year.

7.3.2 Violation is divided into serious violation and ordinary violation according to the severity. Deduction of points, accumulation of points deducted and punishment are carried out for serious violations and ordinary violations separately, but one violation results in one punishment instead of repeated punishments.

7.3.3 Remedies for violation by the merchant include but are not limited to the following:

7.3.3.1 In case of the sale of counterfeit items, JD International will delete the counterfeit items and information posted by the merchant;

7.3.3.2 In case of the unauthorized use of accounts of other persons, JD International will withdraw the accounts, and the original owners may regain the accounts through an appeal to JD International;

7.3.3.3 If the item contains materials and components not as described, JD International will delete the item and information posted by the merchant;

If the merchant provides false information of items or services, using advertisement and other methods in commercial activities, JD International will delete the items and/or information;

7.3.3.5 In case of the posting of forbidden information, JD International will delete the forbidden items and information posted by the merchant and transaction reviews will arise therefrom;

7.3.3.6 In case of the posting of unauthorized items, JD International will delete the unauthorized items and information posted by the merchant; 

7.3.3.7 In case of the disclosure of information of other persons, JD International will delete the private information of other persons disclosed by the merchant; 

7.3.3.8 If the merchant gains properties by cheating, JD International will delete the items and information used for cheating and transaction reviews will arise therefrom; 

7.3.3.9 In case of the improper posting of information, JD International will delete the items and/or information improperly posted by the merchant; meanwhile, JD International will impose a punishment of search ranking drop for items and/or information in relation to improper posting of information;

7.3.3.10 If descriptions by the merchant of materials, components, quality and other information of the items are inconsistent with the items received by the buyer or lead to failure by the buyer to normally use the items, JD International will remove such items. If the merchant fails to disclose defects and other information of an item, or descriptions of items are inconsistent with the items received by the buyer, which affects normal usage by the buyer, JD International will remove such items; 

7.3.3.11 If the merchant violates its commitments, the merchant shall describe items faithfully, compensate the buyer or have items returned, replaced or repaired for the buyer in accordance with the consumer protection service rules;

7.3.3.12 If the user registers a larger number of accounts, using software and programs, JD International will carry out investigation and impose a punishment, and will cancel any order submitted through the misuse of rights; 

7.3.3.13 JD International will delete items and information posted by the merchant in relation to the misuse of rights of other persons;

7.3.4 If the merchant carries out other malicious acts, JD International will impose a corresponding punishment on the merchant, including but not limited to deduction of points, requiring the merchant to pay damages for breach, blocking and disqualification;

7.3.5 If the merchant refuses to be subject to platform management, JD International will impose a corresponding punishment on the merchant, including but not limited to deduction of points, requiring the merchant to pay damages for breach, blocking and disqualification;

In case of the aforesaid violations, JD International will impose a punishment as the case may be and has the right to close the account of the merchant or hold the merchant legally liable.

7.4 Execution of Punishment

7.4.1 Violation by the user is found by other users or through complaints from an obligee or investigation [JZ1] by JD International.

7.4.2 If undertakings or explanations made by the merchant are inconsistent with the Rules, punishments for violation will not be suspended or canceled, unless the evidence or judgments are wrong.

7.4.3 JD International will manage and control the merchant according to factual evidence and rules.

7.5 Violation Appeal

The merchant may, within 14 calendar days (excluding duration of review by JD International) following punishment for violation, submit a violation appeal. After the merchant submits materials for an appeal, the Customer Service Center and the Quality Control Department of JD International will carry out verification. The time limit for treating the appeal is 3-5 working days following receipt of materials for an appeal from the merchant.

7.6 Withdrawal Management

The merchant may, at any time, elect to withdraw from the open platform of JD. In addition, JD International formulates relevant detailed rules on management of withdrawal or disqualification of merchants. JD International has the right to restrict the login of the merchant or force the merchant to log out of the platform/disqualify the merchant under special circumstances.

JD has the right to disqualify the merchant if the merchant: 

(1) is involved in unfair competition, affects the rights and interests of buyers or the reputation of JD platforms and otherwise violates the principle of fair market competition, the good-faith principle and the public order and good custom; or

(2) by unlawful means, uses the JD registered logo or domain name for improper publicity or commercial activities, which misleads buyers, infringes on the intellectual property rights of JD and adversely influences JD; or

(3) publishes comments to viciously slander or dwarf JD, using words, pictures and otherwise, through online, offline and other channels, which adversely influences JD; or

(4) violates the JD International Management Rules on Violation by Merchants, resulting in the deduction of 100 points.

In case of any of the aforesaid violations, JD may hold the merchant legally liable and reserves the right to disqualify and terminate partnership with the merchant.


Chapter 8 Sale Behaviors of Merchants

The Rules specify sales behaviors of JD International merchants, including pre-sales services, sales services, items preparation requirements, shipment requirements, and payment methods. If the merchant violates such provisions, the merchant is subject to relevant punishment by JD International.

8.1 Pre-sales Services

8.1.1 The merchant shall, in a timely, effective and patient manner, answer all questions of the buyer about the items sold by the merchant.

8.1.2 The merchant shall not refuse to answer or delay answering the questions of the buyer.

8.1.3 The merchant shall not, in any way, insult the buyer asking a question or buying an item.

8.1.4 The merchant shall not publish any information to induce the buyer to or be induced by the buyer to conclude transactions on any website other than JD International websites.

8.2 Sales Services

8.2.1 The merchant shall warrant that items are available in the warehouse upon the issuance of an order by the buyer.

8.2.2 In the case of customized items, the merchant shall warrant that production and shipment of items will be completed in the shortest time and shall confirm the delivery time with the buyer via JD customer service or online communication tools.

8.3 Requirements on Preparation of items

8.3.1 The merchant shall, in a timely manner, carry out handling and arrange preparation of items in the warehouse upon receipt of an online order from the buyer.

8.3.2 There shall be adequate inventory (at least 5 pieces) for a single item offered by the merchant for sale in the store on JD International;

8.3.3 If the merchant fails to ship items within the agreed time due to the lack of stock after the buyer consults the merchant and issues an order to the merchant on the JD International store, the merchant will be subject to relevant punishment by JD International.

8.4 Shipment Requirements

8.4.1 Upon the conclusion of a transaction under an order, the merchant shall not refuse to ship items or delay shipment of items to the buyer for any improper reason.

8.4.2 With regard to promotional items, the merchant shall not refuse to ship items or delay the shipment of items to the buyer for any improper reason.

8.4.3 With regard to promotional items of the merchant, the merchant shall not refuse to ship items or delay the shipment of items to the buyer on the grounds of the remote location of the buyer, higher postage, etc.

8.4.4 If traffic control, heavy rain, heavy snow, earthquake and other natural events upon conclusion of a transaction under an order affect the shipment of items from the merchant, the merchant shall notify the buyer.

8.4.5 The merchant shall complete shipment of items under the order upon conclusion of the transaction and shall not ship items irrelevant to the items or pass such irrelevant items off as the items.

8.5 Payment Method

8.5.1 The merchant shall accept as the sole payment method, the payment method permitted by JD International, and shall not induce the buyer to or be induced by the buyer to conclude transactions on any website other than JD International websites, or make payment by any payment method not specified by JD International.

8.5.2 Shipment after payment:
The buyer will make payment before shipment by the merchant. The specific payment method is online payment, and the buyer will, before shipment, pay the purchase price through PAYPAL, VISA or MASTERCARD.

 

Chapter 9 After-sales Services

9.1 Overview of After-sales Services

9.1.1 After-sales services include the handling of return and replacement applications of the buyer; and the handling of complaints in relation to after-sales services.

9.1.2 Principle: With regard to after-sales services for items sold through JD International, review and handling will be uniformly carried out by JD International in accordance with relevant after-sales service policies published by JD International and the merchant shall provide corresponding after-sales services according to the results of handling by JD International. In case of any special circumstances in which it is necessary to check with the merchant, JD International will contact the merchant in advance to check, and then carry out review and handling in accordance with relevant policies.

9.2 Method for Contacting Merchants

If JD International needs to contact the merchant for the handling of after-sales services by telephone, email (email is address recorded in the merchant system) and otherwise, according to the type of items and the severity of problems for the after-sales services, and the merchant shall pay attention to new messages received, and reply within the time limit specified in Article 9.3.

9.3 Time Limit for Merchants to Reply

JD International has informed the merchant of the time limit for the merchant to reply. For the purpose of ensuring good experience for the buyer, the merchant shall reply with the handling solutions in a timely manner within the following time limit upon JD International sending emails or other communications in relation to after-sales services, so that JD International can carry out the handling of the after-sales services requested by the buyer, in consideration of the reply of the merchant:

9.3.1 Mail: The merchant shall, within 24 hours upon JD International customer service specialist sending an email in relation to after-sales services, reply to the email with handling opinions.

9.3.2 Consequences arising out of failure to reply in a timely manner: If the merchant fails to reply with the handling solution within the specified time limit, the merchant is deemed to agree to the after-sales services requested by the buyer, and JD International has the right to reply with the handling solution, according to the requirements of the buyer. The merchant shall, according to the handling solution of JD International, provide the buyer with after-sales services, and bear any possible loss or additional cost incurred thereby.

9.4 Process for After-sales Services

9.4.1 Return process (for items complying with return-related policies, as reviewed by JD International):

9.4.1.1 Return of items is arranged by JD International for the buyer. The items are returned by the buyer directly to the merchant. The merchant bears the transportation costs for return and replacement of items, according to the return and replacement policy published on the JD International website.

9.4.1.2 If the buyer has special reasons for return of items, JD International needs to confirm with the merchant, and the merchant shall reply with the handling solution within the time limit specified in Article 9.3. If the merchant rejects the return of items, the merchant shall provide JD International with professional explanations and relevant bases for the rejection, and JD International will give an explanation to the buyer. If the merchant accepts the return of items, the merchant shall arrange the return of items according to the process specified in Article 9.4.1; if the merchant fails to reply with a handling solution within the time limit, JD International will carry out handling in accordance with Article 9.3.2.

9.4.2 Replacement process (for items complying with replacement-related policies, as reviewed by JD International):

9.4.2.1 The merchant is responsible for receiving items that need to be replaced by the buyer. Upon receipt of the items to be replaced, the merchant shall ship new items to the buyer, and bear the transportation costs for return and replacement of the items according to the return and replacement policy published on the website. The period of delivery of the new items shall be determined by reference to the shipment and delivery period specified in the logistics provisions.

9.4.3 Process for re-shipment of items/parts due to wrong or short shipment:

9.4.3.1 After the merchant receives a notice of re-shipment of items/parts, the merchant shall directly re-ship items/parts to the buyer, within the shipment and delivery period specified for the order, and bear the transportation costs incurred thereby. The buyer shall directly return the wrong items/parts to the merchant, and the transportation costs incurred thereby shall be borne by the merchant.

9.4.3.2 If the merchant fails to re-ship items as scheduled, JD International has the right to offer a refund in full as required by the buyer.

9.4.4 Other handling processes for after-sales services:

If the buyer questions the product/production date/anti-counterfeiting measures or services relating to technical training, JD International will send an email to the merchant for checking and explanation, and the merchant shall, in accordance with Article 9.3, reply to the email, answering questions of the buyer, and JD International will reply to the buyer according to the reply of the merchant. If the merchant fails to make a reply in accordance with Article 9.3, JD International will carry out handling according to complaints of the buyer and by reference to Article 9.3.2.

9.4.5 The time limit for the merchant to provide the buyer with after-sales services through JD International:

9.4.5.1 The merchant shall provide the buyer with after-sales services, within such time limit for providing after-sales services as specified in Article 9.4 or within 3 calendar days upon JD International notifying the merchant to provide after-sales services.

9.4.5.2 If the merchant fails to provide after-sales services as scheduled, JD International has the right to directly arrange return and refund for the buyer, according to the complaint of the buyer, and all costs and losses incurred thereby shall be borne by the merchant.

9.5 Return and Replacement Policy

9.5.1 Return as a result of quality problems:

9.5.1.1 If the buyer requests return or replacement of items due to quality problems, the merchant is responsible for providing after-sales services for return and replacement.

9.5.1.2 In case of damage and other problems in logistics distribution, the merchant is responsible for providing after-sales services for return and replacement.

9.5.1.3 If wrong or short shipment is found by the buyer after receipt of the items, the merchant shall provide after-sales services in accordance with Article 9.4.3.

9.5.2 Return and replacement other than as a result of quality problems:

If the buyer applies for return and replacement within 15 calendar days following the date of sale of the items (the date of receipt by the buyer of the items) and such items to be returned and replaced have complete accessories and are capable of being resold, the merchant shall provide after-sales services for return and replacement. The transportation costs for return and replacement other than as a result of quality problems shall be borne by the buyer.

9.5.3 Return and replacement as a result of items not as described:

9.5.3.1 If the buyer requests return or replacement of items as a result of items not as described, the merchant is responsible for providing after-sales services for return and replacement.

9.6 Policy on Provision by Merchants of Information in Response to Questions of Buyers

If the buyer questions the authenticity, quality and weight (in the case of gold and jewelry) of items sold by the merchant, the merchant shall provide a reasonable explanation and corresponding documentary evidences. If the merchant is unable to provide documentary evidences or the documents provided by the merchant are not sufficient to prove that the complaint of the buyer is unreasonable, the merchant shall, at its own cost, arrange return of items for the buyer, and shall compensate for all losses incurred thereby.

 

Chapter 10 Matters upon Termination of the Agreement

10.1 Upon termination of partnership between both parties, JD International will revoke the right under the “JD International user account” of the merchant and remove all items of the merchant, and the merchant cannot continue to carry out any operation using the account, and the front-end website of “JD International” will not show any item information of the merchant.

10.2 Upon termination of the agreement, JD International has the right, but is not obliged, to retain registration information, transaction records and other data of the merchant, and is not obliged to send to the merchant or any third party, any unread or unsent information, upon termination of the agreement, or liable to the merchant or any third party for the termination of the agreement, unless otherwise specified by laws. 

10.3 Within 30 calendar days from termination of the partnership, Party A and Party B will carry out a settlement for withdrawal, including but not limited to financial reconciliation and the handling of items in transit. Items in transit means items which are purchased by a customer prior to the termination of the partnership between both parties that has not been delivered. The merchant shall continue to deliver items in transit and make settlement according to the process which is applicable prior to termination of cooperation. 

10.4 Termination of cooperation between both parties will not relieve the merchant from relevant service and product warranty liabilities to the customer under the agreement; upon termination of the partnership between Party A and Party B, the merchant shall continue to be independently and fully liable for personal or property losses incurred by JD International or other third parties as a result of quality problems in items or problems in services of the merchant. 

Chapter 11 Supplementary Provisions

11.1 If the user carries out behaviors prior to the effectiveness of the Rules or amendment to the Rules, the rules in force at the time of occurrence shall apply. If the user carries out behaviors after the effectiveness of the Rules or amendment to the Rules, the Rules shall apply.

11.2 JD International carries out handling for the behaviors of a user, a store and item information, according to the Rules, evidence obtained, facts and relevant rules of JD International, and will not assume any liability.

11.3 In the Rules, the scope less than a number excludes the number; the scope more than a number includes the number.

11.4 The Rules include provisions, detailed rules, notices, announcements and other normative documents of JD International (http://help.oper.jd.com/helpInfo/viewcontent.do?id=6&relSys=1).

11.5 The Rules were amended on January 3, 2016. The amended Rules come into effect on
April 1, 2017.

 

Appendix 1 JD International Merchant Violations Regulations

Chapter 1 Overview

The Rules are formulated in accordance with national laws, regulations, standards, the Store Service Agreement of JD en.jd.com Open Platform, the General Rules of JD International and other relevant agreements and rules, for the purpose of promoting new commercial civilization which features openness, transparency, sharing and responsibility, protecting legitimate rights and interests of JD users, maintaining the normal operation of JD International, and achieving the standardized operation of stores of merchants.

Chapter 2 Management Rules for Merchant Violations

Section 1 Explanation for Serious Violations

Serious violation means any behavior which is suspected of violating national laws, regulations, or substantially violates service agreements or platform rules, or seriously damages the legitimate rights and interests of other merchants and buyers, or seriously disrupts the operation order of JD International.

1.      Sale of counterfeit items: Sale by the merchant of counterfeit items or pirated items. If the merchant sells counterfeit items and the case is serious, 100 points will be deducted for each violation. For protecting rights and interests of consumers, JD International will, according to the severity of the case, take market management and control measures (including but not limited to store blocking, restriction on posting of items, punishment notification and store shutdown) for the merchant who commits such violation.


2.      Unauthorized use of accounts of other persons: Unauthorized use of JD International accounts of other persons, which is suspected of infringing relevant information and proprietary rights of other persons. 100 points will be deducted for each violation.


3.      Materials and components not as described: Descriptions of materials and components from the merchant are not consistent with the items received by the buyer, thus damaging legitimate rights and interests of the buyer. For each violation, the merchant is subject to a deduction of 25 points if the case is minor, 50 points if the case is serious and 100 points if the case is extremely serious.


4.      Disturbing the platform order: Circumvention by the merchant of JD International rules or market management measures through improper methods. For each violation, the merchant is subject to deduction of 50 points if the case is minor and 100 points if the case is serious. Such violations include but are not limited to the following circumstances:

         The seller provides JD with false information, such as forged trademarks or illegally changed trademarks, letters patents, or other qualification documents;


 

5.       In the quotation stage or activity period (including warm-up and formal activities), the seller unexpectedly withdraws from activities or ceases normal operation, after confirming participation in marketing activities initiated by JD, which seriously affects interests of consumers and the JD platform order. Sham transaction: Increase by the merchant in the sales volume or store score on JD International through improper methods (namely “cheats”), damaging the rights and interests of the buyer for shopping. Such “cheats” mainly include but are not limited to purchase by the merchant of its own items for cheating in reviews, malicious changing of prices, change of items, cheating through a third party, empty boxes, “improper registration” of an account of a buyer for cheating in purchases, improper transaction between friends, improper transaction between internal personnel of the supplier, purchase by the supplier or the distributor, increase in the sales volume through negotiation with other persons or improper methods, malicious use of a false waybill number, sham transaction and increase in the sales volume through sham transaction with fake shipment or without shipment, cheating in the sales volume through tying or considerable change in prices. If the seller increases the sales volume of an item or the store score through improper methods in a sham transaction, JD International has the right to remove such item or relevant reviews of the item, and impose a punishment on the seller in accordance with provisions in Section 3 of Chapter 2 with regard to “sham transaction”.


6.      False publicity: Posting by the merchant of false information of items or services, using advertisements and other publicity methods in commercial activities, which misleads buyers. For each violation, the merchant is subject to deduction of 5 points if the case is minor, 25 points if the case is serious, and 100 points if the case is extremely serious.


7       Posting of forbidden information: Posting by the merchant of items or information covered by the List of items Forbidden by JD International from Sale, which constitutes a serious violation.


8       Posting of unauthorized items: posting or sale by the merchant of items which are not authorized by JD International, through JD International. For each violation, the merchant is subject to a deduction of 25 points if the case is minor and 100 points if the case is serious. Such violations include but are not limited to the following circumstances:

8.1 The seller posts or sells items of a brand not authorized by the platform;

8.2 The seller posts or sells in a certain category, items of a brand not authorized by the platform.


9       Disclosure of information of other persons: Posting, disclosure and spreading by the merchant of information of other persons without authorization, which is suspected of infringing the privacy right or personal right of other persons. For each violation, the merchant is subject to deduction of 50 points if the case is minor and 100 points if the case is serious.


10     Gaining properties by cheating: Illicit gaining by the merchant of properties of other persons for the purpose of seeking unlawful profits, which is suspected of infringing the property right of other persons. 100 points will be deducted for each violation.


11     Illicit profiting: Gaining by the merchant of profits by illicit methods, including the following circumstances: 

11.1 If shareholders, directors, supervisors, executives, and workers of the merchant are employees of JD International, 100 points will be deducted for each violation.

11.2 If shareholders, directors, supervisors, executives, and workers of the merchant are related persons of employees of JD International, and employees of JD International have not faithfully reported such relationship to or filed it with JD International in advance, and such personnel gain profits by taking advantage of the positions of employees of JD International, 100 points will be deducted for each violation.

11.3 If the merchant participates in improperly obtaining coupons issued by JD, the merchant is subject to a deduction of 50 points if the case is minor and 100 points if the case is serious, for each violation; and JD has the right to invalidate the merchant's unused coupons, and recover from the merchant an amount equal to the amount of the coupons used by the merchant.

11.4 If the merchant or workers of the merchant directly or indirectly provide employees of JD or related persons with cash gifts, items, negotiable securities as a gift or other illegitimate benefits in a disguised form, including but not limited to cash, check, credit card gift, sample or other items, entertainment ticket, membership card, currency, rebate in the form of cargoes, return commission, employment or purchase of a house, travel with payment by the merchant, erotica and individual services, 100 points will be deducted for each violation, regardless of whether the seller gains profit;

11.5 25 points will be deducted for each violation, if the merchant clearly expresses the intention of illicit profiting to employees of JD and/or their related persons or has started illicit profiting but the merchant fails to achieve the intention for reasons independent of its will, which constitutes attempted illicit profiting.

In the event of such illicit profiting by the merchant, regardless of whether the merchant gains profit, JD International has the right not to provide the merchant with any item or service or accept any item or service provided by the merchant; meanwhile, the merchant is prohibited from participating in marketing activities of JD International for 6 months. (If the merchant is prohibited from participating in marketing activities as a result of the aforesaid illicit profiting, the prohibition period shall be as specified in this article, instead of provisions in Section 3 of the Rules with regard to restriction on participation in marketing activities as a result of serious violation).

 

Section 2 Explanation for Ordinary Violation

Ordinary violation means any behavior violating service agreements and platform rules other than serious violations.

1.      Improper posting of information: Posting by the seller of items or information in violation of management requirements (including but not limited to rule, standard, seller background announcement, help center, and industrial standard) published by the JD open platform, which infringes on rights and interests of buyers, including the following circumstances:

1.1 In the event of posting of the following information on the item page or the activity page, 2 points will be deducted for each item or each piece of information (the cumulative number of points deducted will not exceed 14 within 3 days):

Shopping links other than the shopping link of JD International, third-party links not authorized by JD International, bank account number, third-party payment account, email, the address of a physical store, contact information not registered with and authorized by JD International and information of items used for advertisement.

1.2 In the event of posting of items or information in the following manners, 2 points will be deducted for each item or each piece of information (the cumulative number of points deducted will not exceed 14 within 3 days): 

1.2.1 Posting advertisement information in item review, Net Friends Circle, the unboxing post, the Q&A post (other than for answering questions of users);

1.2.2 Repeated posting, such as posting of over two items (inclusive) which are identical or have the same important attributes in the same store;

1.2.3 Posting of items in an unconventional unit of quantity;

1.2.4 Posting of items through circumvention of the item SKU rules of JD International;

1.2.5 Misuse of keywords: Use of wrong or repeated keywords for the posting of items or information (including advertisement), which confuses customers in shopping but does not involve false publicity or “items not as described”.

1.3 If the merchant posts on the item page the items or information in the following manner, and such case is minor and does not constitute false publicity or “items not as described”, 2 points will be deducted for each item or each piece of information (the cumulative number of points deducted will not exceed 14 within 3 days); if the merchant posts on the store decoration page or the activity page items or information in the following manners, and such case is minor and does not constitute false publicity or “items not as described”, 8 points will be deducted for each item or each piece of information:

1.3.1 There is a lack of a title or an image in item information or an image of items offered for sale;

1.3.2 The title, picture, price, transportation method, postage, after-sales service and other elements of the item are obviously inconsistent; 

1.3.3 The item title and other information are unauthentic or irrelevant to the item; 

1.3.4 The item title, picture, and other information are not posted according to operation standards;

1.3.5 The merchant uses fabricated positive reviews, a false JD International store type or a logo inconsistent with actual information of the store;

1.3.6 The items posted are inconsistent with the category or item attributes.
In the event of improper posting under this article, JD International has the right to delete items or information improperly posted by the merchant.


2       Delay in shipment: Failure by the merchant to ship items to the buyer within the agreed period, which damages rights and interests of the buyer. This article does not apply to items with respect to which the merchant uses supply-chain management services of JD International. In the event of any of the following circumstances, the merchant is deemed to delay shipment (the delivery period is calculated from such time of successful payment by the buyer as recorded in the system in the case of an order not under the cash on delivery method or from the time of successful submission of an order under the cash on delivery method) and subject to deduction of 1 point for each order. The cumulative number of points deducted will not exceed 25 within 7 days. :

2.1 The merchant fails to ship items other than items with respect to which the shipment time is otherwise agreed upon, according to requirements on the time limit for shipment;

2.2 Requirements on the time limit for shipment: The merchant shall ship items as scheduled. If the rate of delay in shipment reaches a certain level, the merchant will be subject to punishment of varying degrees. Within 6 days following conclusion of transaction between both parties, the merchant shall upload to the JD system the valid waybill number for the items ordered by the buyer (the time shall be as recorded in the JD International system);

2.3 If the shipment time is otherwise agreed on for customization, presale, and other special conditions, the merchant shall carry out such action within the aforesaid period following the last day of the period in which the merchant undertakes to ship items.

2.4 If the shipment time is otherwise agreed on for customization, presale, and other special conditions, the merchant shall carry out such action within the aforesaid period following the last day of the period in which the merchant undertakes to ship items, but the merchant fails to ship items within the period specified in Articles 2.2 and 2.3 of this Section.


3       Malicious harassment of customers: Harassment of buyers by the merchant in or after a transaction through malicious methods, which damages legitimate rights and interests of other persons. 25 points will be deducted for each violation. 


4       Violation of commitments: Failure by the merchant to provide the buyers with the following services according to commitments or JD International rules, which damages rights and interests of the buyer.

4.1 12 points will be deducted for each violation if in a transaction dispute JD International determines that the merchant shall assume subsequent obligations and liabilities but the merchant refuses to do so (for example, JD International determines that the merchant shall assume the obligations for return, refund or other after-sales warranties, but the merchant refuses to do so);

4.2 12 points will be deducted for each violation if the merchant violates requirements of the JD International service agreement with regard to protection of consumer rights and interests;

4.3 12 points will be deducted for each violation if the merchant undertakes to participate in JD International marketing activities but fails to act in accordance with activity requirements (other than requirements on the shipment time, with respect to which treatment is made according to provisions as to delay in shipment);

4.4 8 points will be deducted for each violation if the merchant fails to fulfill other commitments for items or services under an order with respect to which payment has been made or under special circumstances. Such violations include but are not limited to the following circumstances:

4.4.1 The merchant does not properly maintain the system or store account, leading to failure to fulfill commitments; 

4.4.2 The buyer complains that the merchant fails to provide an invoice according to the order information or the agreed methods;

4.4.3 Not all parts, gifts, items as shown in the item details confirmed under an order at the time of conclusion of transaction are received by the buyer; if the merchant reships to the buyer, parts/gifts/items which should have been shipped, punishment will be imposed according to provisions as to delay in shipment;

4.4.4 In the conclusion of a transaction, the merchant undertakes to bear the transportation costs for shipment, return and replacement, but the merchant fails to fulfill the undertakings, or the merchant refuses to bear the transportation costs for return and replacement in the event of the return of items due to quality problems.

4.5   items are listed and there is a sufficient inventory, but the merchant cancels the order for any reason before payment by the buyer or conclusion of transaction and the buyer makes a complaint;

4.5.1 If an information (such as price) error event with respect to an item occurs and the merchant fails to ship the item according to commitments (as ascertained by JD International), JD will impose a punishment according to the following rule:

1) Where the number of orders ≤100, 25 points will be deducted;

2) Where the number of orders 100< but ≤500, 50 points will be deducted;

3) Where the number of orders >500, 75 points will be deducted.

Within 90 days (inclusive) upon opening of a new store, the merchant is exempted from punishment for the first information error event. The merchant who has been subject to deduction of points shall continue to handle complaints of the buyer according to relevant requirements.


5       items not as described: Inconsistency between items received by the buyer and the descriptions of items by the merchant without explanation of item defects, the warranty period, accompanying articles and other matters at the time of conclusion of the transaction, which damages rights and interests of the buyer.

5.1 If descriptions by the merchant of materials, components, quality and other information of the item are seriously inconsistent with the item received by the buyer or lead to failure by the buyer to use the item normally, 25 points will be deducted for each violation;

5.2 If the merchant fails to explain item defects and other information or descriptions of items are inconsistent with items received by the buyer, which affects normal use by the buyer, 12 points will be deducted for each violation;

5.3 If the merchant fails to explain item defects and other information or descriptions of items are inconsistent with items received by the buyer, which does not substantially affect normal use by the buyer, 6 points will be deducted for each violation;

5.4 If items selected for inspection are inconsistent with descriptions, 2 points will be deducted for each violation;


6       Improper registration: Registration by the merchant of a larger number of JD International accounts, using software and programs; or misuse of the membership right through a registered JD International account, which damages legitimate rights and interests of other persons or the operation order of JD International. 25 points will be deducted for each violation. If JD International finds suspected improper registration with respect to an account, JD International will, depending on the circumstances, impose such punishments as punishment notification, login restriction, restrictions on buyers’ activities, posting of items and shipment.


7       Misuse of rights of other persons: Trademark infringement (other than counterfeiting), copyright infringement (other than piracy), patent infringement, and other infringements on legitimate rights and interests of other persons. (Note: Use of pictures and trademarks not licensed by a branding company constitutes infringement in spite of licensing by the branding company for sales of items). Punishment is imposed according to the seriousness of the case. For each violation, the merchant is subject to a deduction of 8 points if the case is minor, 25 points if the case is serious, and 100 points if the case is extremely serious. Such violations include but are not limited to the following circumstances:

7.1 Item information or pictures posted by the merchant or the store name or domain name used by the merchant infringes on rights of other persons; 

7.2 Items sold by the merchant are suspected of infringing on the trademark right, the copyright, the patent right, and other legitimate rights of other persons; 

7.3 Item information posted by the merchant or other information used by the merchant confuses or misleads consumers or leads to unfair competition.

Complaints from the same obligee against the merchant within 3 calendar days are deemed as one complaint.

In the event of infringements specified in this article, JD has the right to remove or delete items or information posted by the merchant which infringes on rights of other persons, meanwhile, JD has the right to, depending on the severity of the case, take such market supervision measures as store blocking, store shutdown and restriction on posting of items.

2. The merchant provides other   persons with services of sham transactions, supports or facilitates two or   more merchants to complete sham transactions;

3. The merchant's behavior   flagrantly, frequently, with serious consequences, or maliciously circumvents   supervision;

4. The merchant carries out sham   transactions to improperly obtaincoupons or profits.


The reviews for a single item will   be deleted; the store is subject to search ranking drop for 14 days; the single   item in relation to violation is subject to removal for 21 days and search   ranking drop for 9 days; if the merchant obtains coupons or profits   improperly, the merchant shall pay as damages for breach, an amount equal to   10 times the amount of coupons and profits improperly obtained, and JD has   the right to close the store;

In the event of any of the   following circumstances:

1. JD employees, reporters, or   users are threatened or intimidated as a result of sham transactions by the   merchant;

2. The proportion of sham   transactions by the merchant is unduly high.


JD has the right to shut down the   store.

Note: 

JD has the right to, without giving notice to the merchant, treat any information in relation to sham transactions, including but not limited to deletion and blocking of reviews, deletion of the store score and data of sham transactions; if the merchant carries out sham transactions during a big sales promotion and the case is serious, JD has the right to prohibit the merchant from participating in marketing activities initiated by JD; whether the case is “serious” is determined according to statistics in the JD system.

 

1.      In the event of a violation by the seller, the seller shall remedy the violation, be subject to deduction of points and liable for corresponding damages for breach. Points deducted in the year will be reset to zero on January 1 of the following year.


2.      Violations are divided into serious violations and ordinary violations according to the severity. Deduction of points, accumulation of points deducted and punishment are carried out for serious violations and ordinary violations separately, but one violation results in one punishment instead of repeated punishments.


3.      JD International may take the following punishment measures for serious violations by the seller:

3.1 If the cumulative number of points deducted for serious violations by the merchant reaches 25, the merchant is subject to restrictions on the posting of items/opening of a new store for 7 days and restrictions on participation in marketing activities for 7 days, and shall pay to JD as damages for breach USD 500;

3.2 If the cumulative number of points deducted for serious violations by the merchant reaches 50, the merchant is subject to restrictions on the posting of items/opening of a new store for 14 days and restrictions on participation in marketing activities for 14 days, and shall pay to JD as damages for breach, USD 1,000;

3.3 If the cumulative number of points deducted for serious violations by the merchant reaches 75, the merchant is subject to restrictions on the posting of items/opening of a new store for 21 days, restrictions on participation in marketing activities for 21 days, removal of all items and store blocking for 21 days, and shall pay to JD as damages for breach, USD 3,000;

3.4 If the cumulative number of points deducted for serious violations by the merchant reaches 100, JD has the right to disqualify the merchant; the damages for breach payable by the merchant to JD shall also include USD 5,000 or all security deposits (whichever is larger) (in the case of sale of counterfeit items, special agreement shall apply). If the seller sells counterfeit items, the seller shall pay to JD as damages for breach, USD 0.1 million or 10 times the total sales amount of the store. If the aforesaid damages for breach are not sufficient to cover losses of JD, the seller is liable for the balance.


4.      JD International may take the following punishment measures for ordinary violations by the merchant:

The merchant is subject to restriction on participation in JD marketing activities for 7 days, for each deduction of 25 points resulting from an ordinary violation.


5.      If the cumulative number of points deducted satisfies multiple threshold punishment conditions as a result of deduction of a considerable number of points for a single violation by the merchant or threshold punishments of the same type need to be carried out within a punishment period, the merchant is only subject to the severest punishment.

 

Appendix 2 Error Management and Events Information

1.      Scope of Application: 

The Rules apply to all JD International merchants.

2.      Definitions

Information error event: Errors in item information shown on the platform, including price, quantity, promotion information, picture, and specification parameter.

3.      Treatment Process

In principle, with regard to any issued order with item information errors, the merchant shall perform obligations under the order. In the event of an information (such as price) error event, the merchant shall notify JD within 2 hours after he/she knows or should have known such event. If the merchant fails to ship the item according to commitments (as ascertained by JD International), JD will impose a punishment according to the following rule:

3.1 If the loss resulting from an issued order with a single item information error event is less than USD 1,000 (inclusive), the merchant shall perform the order; if the merchant is unable to perform the order as a result of insufficient inventory and other special reasons, the merchant acknowledges that JD may, depending on the complaints, provide a solution and compensate the user in advance, and all costs incurred thereby shall be borne by the merchant unconditionally. The management team and the customer service team of JD International will follow up with the treatment.

3.2 If the loss resulting from an issued order with a single item information error event exceeds USD 1,000 (inclusive), JD has the right to, depending on the complaints, contact the merchant, and the merchant shall provide a solution acceptable to JD so as to eliminate the adverse effect, and is liable for any consequence and cost arising therefrom. The management team and the customer service team of JD International will follow up with the treatment.

3.3 With regard to the solution negotiated with and confirmed by JD, treatment shall be completed within the specified period; otherwise, the merchant is subject to shutdown for rectification and other market supervision measures, until the treatment is completed. The specific time limit requirements are as follows:

1) If the number of orders ≤100, treatment for 80% of the total number of orders for a single event shall be completed within 5 days, and treatment for the remaining orders shall be completed within 3 days;

2) If the number of orders >100 but ≤500, treatment for 80% of the total number of orders for a single event shall be completed within 7 days, and treatment for the remaining orders shall be completed within 3 days;

3) If the number of orders >500, treatment for 80% of the total number of orders for a single event shall be completed within 10 days, and treatment for the remaining orders shall be completed within 3 days.

4.      Punishment

4.1 For a single information error event, JD has the right to punish the merchant in accordance with the provisions of the JD International Management Rules as to Violation by Merchants with regard to “violation of commitments” (ordinary violation).

4.2 If 3 or more information error events involve the same merchant within 3 successive months or a single information error event has a major influence, JD has the right to punish the merchant in accordance with the provisions of the JD International Management Rules for Violations by Merchants with regard to “refusal to be subject to platform management” (ordinary violation), including but not limited to the following market management and control measures: restrictions on posting of items, punishment notification, and store blocking.

5.      Matters not Covered by Rules

5.1 Within 90 days (inclusive) upon opening of a new store, the merchant is not subject to deduction of points for the first information error event.

5.2 The merchant who ships items in accordance with the order is not subject to punishment: The merchant who ships items in accordance with the order is not required to assume the aforesaid liability for breach;

5.3 In the Rules, “number of orders” means the total number of orders under which items with error information are purchased (including orders with respect to which the user has not made payment), within the duration of the information error event of the merchant. The number of orders shall be as indicated in the JD International system data.

5.4 In the Rules, the amount of losses arising out of a single price error is calculated as (the JD price of the item - the wrong price) * the number of orders; in calculation of the amount of losses arising out of a newly listed item, the “JD price of the item” shall be determined by referencing the actual market transaction price of the item.

 

Appendix 3 Rules on Opening Stores

1.         Registration and Management of User Names

Username: “Username of the merchant” registered for the merchant by JD International in the background upon execution of a cooperation agreement between the merchant and JD International. The username and the password are provided in writing by a relevant employee of JD International to the merchant. The username shall not be changed without authorization. The password shall be changed and kept secure by the merchant. The merchant shall keep secure the username and password information, and shall not, without authorization, by any means, transfer or authorize other persons to use the username, and is liable for all activities using the username and password; all behaviors of the merchant in transaction on JD International shall comply with national laws, regulations, the public order and good customs, JD International rules, processes and relevant provisions;
2.      Posting of items
All merchants may post items on JD International but shall not post item information which fails to comply with laws and rules. The merchant shall post item information in accordance with the Rules. Legal liabilities arising out of posting of item information in violation of the Rules shall be totally assumed by the merchant instead of JD International. Once JD International finds item information which violates the Rules, JD International has the right to immediately delete such information and reserves the right to punish the merchant and even terminate cooperation.


1.      Explanation for elements of posting items:

1.1 Item title
The merchant may briefly describe the item attribute in the item title, using descriptive words, but shall not misuse a brand name and other words irrelevant to the item.

1.2 Item picture
Clear and artistic pictures play an important role in promoting transactions, so there shall be pictures to show an item. The dimensions of an item picture: 800*800. 

1.3 Item description

1.3.1 Item descriptions show features and attributes of an item to the buyer. Detailed descriptions items play an important role in successful sales of items.

1.3.2 Item descriptions shall cover the appearance, color, size, components, contents, quality, package, warranty, warranty period, place of origin, functions, use, and other attributes of the item, which is conducive to comprehensive understanding by the buyer of item attributes. Any exaggerated or false description for attracting buyers or any link to other websites which are used to replace item description is invalid.

1.4   Item price

JD International price means the supply price of an item on JD International. The merchant shall correctly and reasonably set a corresponding price for an item, without exaggeration, distortion, or violation of the market law and industrial standards.

1.5   Item quantity
The item quantity is divided into the number of stock keeping units (SKUs) and the item inventory. The number of items offered for sale in the store shall not be less than the minimum requirement of JD International for a category. For details, see the business rules on categories. The item inventory shall not be less than 5. 

Note: 

The number of stock keeping units, namely the number of SKUs, means the number of product models of the same brand.
The item inventory means the number of items of a single model in stock. Item category
All categories of items offered for sale in the store shall be consistent with the JD International system.

2.      Relevant rules:

2.1 JD International has the right to forbid the merchant from posting item information which violates relevant JD International rules.

2.2 All items posted by the merchant on JD International shall comply with relevant laws and regulations of the People’s Republic of China.

2.3 The merchant shall post items on JD International within the “scope of business” specified in the Merchant Qualification Rules of JD International.

2.4 The merchant shall not post counterfeit items, refurbished items, smuggled items, second-hand items, used items, and other item information which violates “guarantee for authenticity”.

2.5 Without formal written authorization (namely without the licensing document within the specified period), item information of the merchant shall not contain the logo of any brand or relevant information which may infringe on the rights of other persons.

2.6 The merchant shall not post in the store any information in relation to wholesale, investment promotion, agency, or any advertisement information in the form of advertisement or poster.

2.7 The merchant shall not post items not as described, any information without an actual item, other information irrelevant to the item, or only provide the contact information of the poster.

2.8 The merchant shall not post in the store on JD International, any link information for inducing buyers to carry out transactions on other websites.

2.9 The merchant shall not indicate the address of the physical store, contact information or contact persons in the pictures, descriptions, titles and other information of items offered for sale in the store.

2.10 The item attribute shall be consistent with the item category or attribute selected for posting the item.

2.11 Item pictures shown in the store shall include original pictures or images of the item and exclude any processed or retouched photo of the item.

2.12 Among items which are identical or have the same important attributes, the merchant can only post one item only.

2.13 The merchant shall perfect and provide pictures and text descriptions of items offered for sale in the store.

2.14 The merchant shall not post pirated books, counterfeit books, or books prohibited from sale by the state.

2.15 In the book category, the merchant shall classify items by referring to the classification of books sold by JD International. JD International has the right to adjust classification by the merchant, for consistency with the classification of books sold by JD International.

Appendix 4 List of items Forbidden and Restricted by JD International from Sale

JD International forbids the posting of information of items which are forbidden, restricted from sale or not suitable for express shipment. The specific item categories are as follows:

2.   Items which are substandard and need to be recalled as determined by quality   inspection authorities or manufacturers, and items which are obsolete or   prohibited from sale in accordance with official orders of the state, expired   and deteriorated items;

Appendix 5 Merchant Qualification Rules of JD International

1. Qualifications for Opening a Store

(1) Enterprise qualifications: Any merchant joining JD International shall be a domestic/foreign enterprise legally registered, with a quality inspection certificate for sale of corresponding items, a company qualification document, a brand licensing agreement, etc.

(2) Privately or individually-owned businesses cannot join JD International.

2. Available Categories (scope of business)

3C digital items, clothes, accessories, sports & outdoors, household items, home appliances, shoes, bags & cases, automobile accessories, toys, infant & mom, watches, and jewelry.

3. Qualification Requirements

(1) General requirements (applicable to all items)

As a JD International merchant, you shall have the following relevant operation qualification documents:

1. The   legal registration document of a domestic/foreign company shall bear the   annual inspection seal of the industry and commerce organ for the latest   annual inspection.


2.   Brand owner: The trademark registration certificate or notice of acceptance   of trademark registration application

1)   With regard to a trademark whose registration is being applied for, please   provide the “notice of acceptance of trademark registration application”   issued by the Trademark Office of China.

2) In   the event of a change, transfer, or renewal of a trademark, please   additionally provide the change, transfer, or renewal certificate issued by   the Trademark Office of the State Administration for Industry & Commerce   of the People’s Republic of China.

3.   Agent or distributor: The trademark registration certificate or the notice of   acceptance of trademark registration application. Licensing documents or   other document evidence proving that   you have the right to sell.

1)   Generally, the license is granted by the trademark holder to the merchant via   agents at all levels; in other words, the license obtained by the merchant   can be traced back to the branding company, level by level. If the merchant   is a level-3 agent, the merchant shall provide the licensing document and the   trademark registration certificate provided by the trademark holder and   obtained by the level-1 agent, the licensing document of the level-1 agent   obtained by the level-2 agent, and the licensing document issued by the   level-2 agent to the merchant.

2. If   the trademark holder is a person, the merchant shall provide a copy of the   front and back sides of the ID card of the person; if the person is the   licensing company, the merchant shall also provide the business license and   the licensing document of the licensing company.

3) If   the trademark and licensing documents provided by you are in a foreign   language, please provide Chinese translations.

 

4. The   quality inspection certificate, the quality license for export, etc.

As a   minimum requirement, China’s 3C certificates or foreign CE certificate shall   be provided, especially for electronic items.

5.   Bank information certificate

A   domestic company shall provide the permit for opening a bank account; a   foreign company shall provide details of the account to be credited.

6.   Certificate of identity of the director or legal person

A   foreign company shall provide the list of board members of the company; a   domestic company shall provide the copy of identity documents of the legal   person.

 Note:

  • The electronic version of qualification documents may be a scanned copy or photo; please ensure that all information is complete, clear, authentic and valid; the documents shall be valid.

  •  Please ensure that the legal name of the company registered when joining JD International is consistent with the company name indicated in the qualification documents.

  •  JD International may, from time to time, require you to provide more qualification documents, in accordance with laws of China or countries of sale or its policies.

 

 

Special requirements (applicable to the following special items)

If the items sold by the merchant on the JD International website fall into the following categories, the merchant shall additionally provide the platform with the electronic version of corresponding documents:

2.  If   medical devices, adult items, and health foods in the “personal care”   category are offered for sale, the merchant shall first receive a joining   invitation from JD International and pass the check on the platform.


Food

Appendix 6 Rules on Posting of Knives

i. General provisions

The Rules on Posting of Knives (hereinafter referred to as the “Rules”) are formulated, in accordance with the General Rules of JD International (for Merchants), for further standardizing posting of knives on JD International, maintaining the normal market order of JD International and improving the user experience of the members. If you want to post such categories of items, please first read the following “reference examples”. Such categories of items posted by you shall comply with the Rules.

In the event of violation of the Rules, corresponding items will be deleted in accordance with the General Rules of JD International (for Merchants), and JD International will, depending on the severity of the violation, freeze or close the account of the merchant.

ii. Reference examples

JD International forbids posting of controlled knives, in accordance with the Interim Regulations on Control of Certain Knives, the Regulations on Use of Police Equipment by the People’s Police, the Weapon and Police Equipment Management System, the Standard of Identification of Controlled Knives of the People’s Republic of China, the Weapons Ordinance of the Hong Kong Special Administrative Region, the Restriction of Offensive Weapons Act of U.K. and other relevant laws and regulations.


Controlled knives include but are not limited to:

The following items which have been forbidden:

(1) Combat knives (daggers, bayonets, trench knives, boot knives, etc.);

(2) Automatic switchblades (flick knife, butterfly knife, and gravity knife, etc.);

(3) Three-square tools;

(4) Disguised knives (belt knives, sword cane, etc.);

(5) Metal flying knives and darts (delta darts, flying knives, flying axes, etc.);

(6) Weapons with a handle, blade, or point (push daggers, kubatons, hawksbills knives, etc.)

(7) Ultra-long knives with blade longer than 100mm (excluding kitchen knives and table knives);

(8) Knives with blood grooves;

(9) Switchblades with a spring or lock for locking the blade into place;

iii. Standard descriptions and pictures of items

Pictures of knives (including attached pictures) posted shall show the length against a ruler as a reference substance and indicate the length of the blade. Item descriptions shall indicate the length of the blade, which shall not exceed 100mm (excluding kitchen knives and table knives); any knife with a blade of 100mm or more in length is deemed an ultra-long knife, which shall not be posted.

iv. Punishment for violation of the Rules

In the event of violation of the Rules, the platform will, in accordance with the General Rules of JD International (for Merchants), delete violating item information. If the buyer has paid for relevant orders, the refund will be offered to the buyer in full, regardless of the logistics condition, and the merchant shall assume all liabilities; and according to the severity of the violation, the merchant is subject to freezing or closure of the account.
